Terms of Service

1. Agreement to Terms

By accessing and using the services provided by SOVRAN DIGITAL LTD ("Company", "we", "us"), a company registered in England and Wales (Company Number 16225920), you agree to be bound by these Terms of Service.

2. Services

We provide digital services including but not limited to software development, IT consultancy, IT management, digital marketing, AI & automation solutions, and technical support. Specific service details, deliverables, timelines and pricing are outlined in individual project proposals or service agreements.

3. Client Obligations

You agree to:

  • Provide accurate and complete information as required
  • Respond to communications in a timely manner
  • Pay invoices according to agreed payment terms
  • Provide necessary access and resources for project delivery
  • Not use our services for any unlawful purpose

4. Intellectual Property

Upon full payment, you receive ownership of custom-developed deliverables as specified in the project agreement. We retain ownership of pre-existing tools, frameworks, and libraries used in the development process. We may retain the right to showcase completed work in our portfolio unless otherwise agreed.

5. Payment Terms

Payment terms are as specified in individual proposals. Standard terms are 50% upfront, 50% on completion for project-based work, and monthly in advance for subscription services. Late payments may incur interest at 8% above the Bank of England base rate.

6. Warranties and Limitations

We warrant that our services will be performed with reasonable care and skill. We provide a defect warranty period as specified in the project agreement (typically 30-90 days). We do not warrant that services will be error-free or uninterrupted.

7. Limitation of Liability

Our total liability shall not exceed the total fees paid for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, special or consequential damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of the engagement. This obligation survives termination of the agreement.

9. Termination

Either party may terminate services with 30 days' written notice. In the event of termination, you shall pay for all work completed to date. We will deliver all completed work product upon receipt of payment.

10. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation including the UK GDPR.

11. Governing Law

These Terms shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

12. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or through our website.
